Capital Structure

Say, I want to increase my Authorized Capital from $10M to $50M and Paid-up Capital from a very low figure of $120,000 to $10M; is there any specific calculation to figure out what should be the ideal Paid-up Capital for the company? what are the impacts will it make on the company's Income Tax and will the enhanced Paid-up capital affect in any way if the company decides to apply for a bank finance of $20M?

Need help on an urgent basis!!

You should make yourself familliar with the concept of capital structures and the purpose and impacts of capital re strucutre as well. Why do you wish to increase the paid up capital fo your company so drastically? do you have the additional capital to inject into the company? if you do is there a purpose for doing so?

Each time you increawse the capital of your company and depending o whether you are a public or a private company, the regulator and shareholders and creditors would be interested. Where you reduce your capital it could affect your ability to repay and or to secure the amounts owing to your creditors and their consent is usually needed first.

Where you chose to increase capital (paid up) there may be revenue law and tax consequences and shareholders could be impacted. In doing so or considering such a move you should firstly notify your shareholder of the move. There are other procedures as well required to be observed.

Good luck to you if you are seeking to expand a business. But take precautions against simply bumping up your capital. I hope you understand the difference e between paid up and authorised capital.
