LAWYERMENT TERMS OF SERVICE

PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING LAWYERMENT SERVICES. By using our Internet site, products and services (collectively, "Lawyerment Services" or "Services") provided by Lawyerment.com ("Lawyerment"), you are agreeing to the following terms (the "TOS").

We reserve the right, at our discretion, to change, modify, add, or remove portions of this TOS at any time. Please check this TOS periodically for changes. Each version of this TOS will be identified at the top of this page by its effective date. Your continued use of Lawyerment Services following the posting of changes to this TOS will mean you accept those changes.

Lawyerment Services are diverse, so sometimes additional terms or product requirements may apply. Additional terms will be available with the relevant Services, and those additional terms become part of your agreement with us if you use those Services.

Using Lawyerment Services

You must follow any policies made available to you within the Lawyerment Services.

Don't misuse Lawyerment Services. For example, don't interfere with Lawyerment Services or try to access them using a method other than the interface and the instructions that we provide. Use of any robot, spider, other automatic device, or manual process to monitor or copy content from Lawyerment Services is strictly forbidden. You may use Lawyerment Services only as permitted by law, including applicable export and re-export control laws and regulations. We may suspend or stop providing Lawyerment Services to you if you do not comply with this TOS or if we are investigating suspected misconduct.

Using Lawyerment Services does not give you ownership of any intellectual property rights in Lawyerment Services or the content you access. You may not use content from Lawyerment Services unless you obtain permission from its owner or are otherwise permitted by law. This TOS does not grant you the right to use any branding or logos used in Lawyerment Services. Don't remove, obscure, or alter any legal notices displayed in or along with Lawyerment Services.

Lawyerment Services display some content that is not Lawyerment's. This content is the sole responsibility of the entity that makes it available. We may review content to determine whether it is illegal or violates our terms and policies, and we may remove or refuse to display content that we reasonably believe violates our policies or the law. But that does not necessarily mean that we review content, so please don't assume that we do.

You agree that Lawyerment will not be liable in any event to you or any other party for any suspension, modification, discontinuance or lack of availability of Lawyerment Services, any of your content, or other content.

In connection with the use of Lawyerment Services, we may send you service announcements, administrative messages, and other information. You may opt out of some of those communications.

Some of Lawyerment Services are available on mobile devices. Do not use such Lawyerment Services in a way that distracts you and prevents you from obeying traffic or safety laws.

We are constantly changing and improving Lawyerment Services. We may add or remove functionalities or features, and we may suspend or stop a Lawyerment Service altogether.

You can stop using Lawyerment Services at any time, although we'll be sorry to see you go. Lawyerment may also stop providing Lawyerment Services to you, or add or create new limits to Lawyerment Services at any time.

Lawyerment makes no representation that content within the Lawyerment Services is legal in every jurisdiction. Access to the content may not be legal by certain persons or in certain countries. If you choose to access the Lawyerment Services, do so at your own risk and you are responsible for compliance with the laws of your jurisdiction.

Your Lawyerment Account

You may need a Lawyerment Account in order to use some of Lawyerment Services. You may register your own Lawyerment Account, or your Lawyerment Account may be assigned to you by an administrator.

You may not create more than one Lawyerment Account.

You shall provide Lawyerment with accurate, complete and updated registration, contact, including but not limited to your email address. Failure to do so shall constitute a breach of this TOS, which may result in immediate termination of your account.

To protect your Lawyerment Account, keep your password confidential. You are responsible for the activity that happens on or through your Lawyerment Account. Try not to reuse your Lawyerment Account password on third-party applications. If you learn of any unauthorized use of your password or Lawyerment Account, follow these instructions.

Lawyerment does not permit registration by and will not knowingly collect personally information from anyone under the age of 18. You certify to Lawyerment that you are an individual at least 18 years of age.

You agree to notify Lawyerment immediately of any actual or suspected loss, theft, or unauthorized use of your account or password.

If your Lawyerment Account has been suspended or terminated, you may not register or create another account on Lawyerment.

Privacy Protection

Lawyerment's privacy policies explain how we treat your personal data and protect your privacy when you use Lawyerment Services. By using Lawyerment Services, you agree that Lawyerment can use such data in accordance with our privacy policies.

Lawyerment Content

Lawyerment and its content may only be used in accordance with this TOS. All materials displayed or performed on Lawyerment Services, including, but not limited to data, text, graphics, logos, tools, software, illustrations, designs, icons, photographs, animations, audio and video (collectively, "Lawyerment Content") (other than content submitted by you) are the property of Lawyerment and/or third parties and are protected by international copyright laws.

All trademarks, service marks, and trade names are proprietary of Lawyerment and/or third parties. You shall abide by all copyright notices, information or restrictions contained in any Lawyerment Content accessed through the Lawyerment Services.

Other than as expressly set forth in this TOS, you may not copy, modify, publish, transmit, upload, participate in the transfer or sale of, reproduce, create derivative works based on, distribute, perform, display, or in any way exploit, any of the Lawyerment Content, software, materials, or Lawyerment Services in whole or in part.

You may download a copy the Lawyerment Content for personal, non-commercial use only, provided that you maintained all copyright and other proprietary notices contained in such Lawyerment Content. No other use is permitted without prior written permission of Lawyerment or the copyright holder identified in the copyright notice contained in the Lawyerment Content.

Your Content in Lawyerment Services

Some of Lawyerment Services allow you to upload, submit, store, send or receive content. You retain ownership of any intellectual property rights that you hold in that content. In short, what belongs to you stays yours.

When you upload, submit, store, send or receive content to or through Lawyerment Services, you give Lawyerment (and those we work with) a worldwide license to use, host, store, reproduce, modify, create derivative works (such as those resulting from translations, adaptations or other changes we make so that your content works better with Lawyerment Services), communicate, publish, publicly perform, publicly display and distribute such content. The rights you grant in this license are for the limited purpose of operating, promoting, and improving Lawyerment Services, and to develop new ones. This license continues even if you stop using Lawyerment Services (for example, a posting on Lawyerment Answers). Some Lawyerment Services may offer you ways to access and remove content that has been provided to that Service. Also, in some of Lawyerment Services, there are terms or settings that narrow the scope of our use of the content submitted in those Services. Make sure you have the necessary rights to grant us this license for any content that you submit to Lawyerment Services.

You can find more information about how Lawyerment uses and stores content in the privacy policy or additional terms for particular Services. If you submit feedback or suggestions about our Services, we may use your feedback or suggestions without obligation to you.

Indemnification

You agree to indemnify, defend and hold Lawyerment and its directors, subsidiaries, affiliates, officers, agents, employees, contractors, suppliers and partners harmless from any liability, loss, claim and expense, including costs and lawyers' fees, from any claim or demand made by any third party due to or arising out of your access or use of Lawyerment Services, your violation of this TOS, or your infringement, or any third party using your account, of any intellectual property or other right of any person or entity.

Termination

This TOS is effective until terminated by either party. You may terminate this TOS at any time by destroying all Content obtained from any and all Lawyerment Services and all related documentation and all copies and installations thereof, whether made under this TOS or otherwise. The privileges granted to you by this TOS, including the maintenance of member accounts, may terminate immediately without notice from Lawyerment. Cause for such termination shall include, but not be limited to, (a) failure to comply with any provision of this TOS, (b) requests by law enforcement or other government agencies, (c) a request by you (self-initiated account deletions), (d) discontinuance or material modification to the Lawyerment Services (or any part thereof), (e) unexpected technical or security issues or problem, (f) extended periods of inactivity, (g) engagement by you in fraudulent or illegal activities, and/or (h) non-payment of any fees owed by you in connection with the Lawyerment Services. All terminations for cause shall be made in Lawyerment's sole discretion. Upon termination, you must destroy all Content obtained from the Lawyerment Services and all copies thereof, whether made under this TOS or otherwise. Lawyerment may take such further action as Lawyerment determines to be appropriate under the circumstances to eliminate or preclude repeat violations, and Lawyerment shall not be liable for any damages of any nature suffered by any customer, user, or any third party resulting in whole or in part from Lawyerment's exercise of its rights under this TOS.

Exclusion of Warranties

THE LAWYERMENT SERVICES ARE PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, LAWYERMENT AND ITS DIRECTORS, SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, SUPPLIERS AND PARTNERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. LAWYERMENT AND ITS DIRECTORS, SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, SUPPLIERS AND PARTNERS DO NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE CONTENT WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, THAT ANY PRODUCT, SERVICES, OR CONTENT PURCHASED OR OBTAINED BY YOU THROUGH THE LAWYERMENT SERVICES WILL MEET YOUR EXPECTATIONS, OR THAT THE SERVER(S) THAT MAKES THE LAWYERMENT SERVICES AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. LAWYERMENT AND ITS DIRECTORS, SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, SUPPLIERS AND PARTNERS DO NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE LAWYERMENT SERVICES IN TERMS OF ITS CORRECTNESS, ACCURACY, RELIABILITY OR OTHERWISE. YOU (AND NOT LAWYERMENT) ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION. APPLICABLE LAW MAY NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.

Limitation of Liability

UNDER NO CIRCUMSTANCES SHALL LAWYERMENT AND ITS DIRECTORS, SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, SUPPLIERS AND PARTNERS BE LIABLE WITH RESPECT TO LAWYERMENT SERVICES FOR ANY (A) DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND WHATSOEVER; (B) DAMAGES FOR LOSS OF USE, PROFITS, DATA, IMAGES, CONTENT OR OTHER INTANGIBLES; (C) DAMAGES FOR UNAUTHORIZED USE, NON-PERFORMANCE OF LAWYERMENT SERVICES, ERRORS OR OMISSIONS; OR (D) DAMAGES RELATED TO DOWNLOADING OR POSTING CONTENT. LAWYERMENT'S AND LAWYERMENT SERVICES' COLLECTIVELY LIABILITY UNDER THIS TOS SHALL BE LIMITED TO THE AMOUNT YOU PAID US TO USE LAWYERMENT SERVICES (OR, IF WE CHOOSE, TO SUPPLYING YOU THE SERVICES AGAIN).

SOME STATES OR OTHER JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU.

WITHOUT LIMITING THE FOREGOING, UNDER NO CIRCUMSTANCES SHALL LAWYERMENT AND ITS DIRECTORS, SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, SUPPLIERS AND PARTNERS BE LIABLE FOR LOSS OR DAMAGE RESULTING DIRECTLY OR INDIRECTLY FROM ACTS OF NATURE, FORCES OR CAUSES BEYOND ITS REASONABLE CONTROL.

Third Party Websites

Lawyerment Services may provide links to third party sites. Third party sites are not within the supervision or control of Lawyerment or Lawyerment Services. Unless explicitly otherwise provided, neither Lawyerment nor Lawyerment Services make any representation or warranty whatsoever about any third party site that is linked to Lawyerment Services, or endorse the products or services offered on such site. Lawyerment and Lawyerment Services disclaim: (a) all responsibility and liability for content on third party websites and (b) any representations or warranties as to the security of any information (including, without limitation, credit card and other personal information) you might be requested to give any third party, and you hereby irrevocably waive any claim against Lawyerment or Lawyerment Services with respect to such sites and third party content.

Business Uses of Lawyerment Services

If you are using Lawyerment Services on behalf of a business, that business accepts this TOS. It will hold harmless and indemnify Lawyerment and its directors, subsidiaries, affiliates, officers, agents, employees, contractors, suppliers and partners from any claim, suit or action arising from or related to the use of Lawyerment Services or violation of this TOS, including any liability or expense arising from claims, losses, damages, suits, judgments, litigation costs and lawyers' fees.

As noted above, the use of certain Lawyerment Services also have additional terms based on the subject matter and content of the specific services, including Lawyerment Services set forth below. You can find the additional terms governing those specific Lawyerment Services at the following links:

About this TOS

We may modify this TOS or any additional terms that apply to a Lawyerment Service, for example, reflect changes to the law or changes to Lawyerment Services. You should look at this TOS regularly. We'll post notice of modifications to this TOS on this page. We'll post notice of modified additional terms in the applicable Lawyerment Service. Changes will not apply retroactively and will become effective no sooner than fourteen days after they are posted. However, changes addressing new functions for a Lawyerment Service or changes made for legal reasons will be effective immediately. If you do not agree to the modified terms for a Lawyerment Service, you should discontinue your use of that Lawyerment Service.

If there is a conflict between this TOS and the additional terms, the additional terms will control for that conflict.

This TOS controls the relationship between Lawyerment and you. This TOS does not create any third party beneficiary rights.

If you do not comply with this TOS, and we don't take action right away, this doesn't mean that we are giving up any rights that we may have (such as taking action in the future).

If it turns out that a particular term is not enforceable, this will not affect any other terms.

This TOS shall be governed by the laws of Malaysia without regard to its conflict of law provisions. You agree that any action at law or in equity arising out of or relating to this TOS shall be filed only in the Kota Kinabalu courts and you hereby consent and submit to the personal jurisdiction of such courts for the purposes of litigating any such action. You agree that regardless of any law or statute to the contrary, any claim or cause of action arising out of or relating to the Lawyerment Services and this TOS must be filed within one (1) year of the date the cause of action arose, or be barred as untimely.
